Terms & Conditions

1. Scope of Application These General Terms and Conditions (hereinafter "Terms") apply to all contracts between Bernd Roessler (hereinafter "Provider") and the Client regarding services such as consultations, coaching, seminars (online/offline), and digital products (hereinafter "Services"). Any conflicting terms of the Client are hereby rejected unless expressly agreed upon in writing.

2. Conclusion of Contract The presentation of Services on the website does not constitute a legally binding offer. A contract is concluded when:

  • The Client submits an order or booking (the offer).

  • The Provider confirms this booking in writing or via email (the acceptance). For automated online bookings, the contract is concluded upon completion of the checkout process and receipt of the confirmation email.

3. Service Description The specific scope of Services is defined in the respective offer, brochure, or website description at the time of booking. The Provider provides services as a service contract (Dienstvertrag) according to ยง 611 BGB. A specific success (e.g., a specific business result) is not guaranteed unless explicitly stated in writing.

4. Fees and Payment

  • All prices are as stated in the offer. Please note if VAT is included or excluded (e.g., according to the German Small Business Act / Kleinunternehmerregelung ยง 19 UStG).

  • Invoices are due for payment within 14 days of receipt without deduction, unless otherwise agreed.

  • The Provider reserves the right to request advance payment for seminars or coaching packages.

5. Statutory Right of Withdrawal (Widerrufsrecht)

Note: If you sell to consumers (B2C), you must include this. If the Client is a consumer (a natural person acting for purposes outside their trade or profession), they have a statutory 14-day right of withdrawal.

  • Digital Content: The right of withdrawal expires once the Provider has started the execution of the contract (e.g., providing access to a Home Study course) after the Client has given express consent and acknowledged the loss of the right of withdrawal.

  • Service Waiver: For short-term bookings, the Client may waive the right of withdrawal to start the service immediately.

6. Cancellation Policy (Contractual) The following cancellation fees apply if the Client cancels outside the statutory withdrawal period:

  • Coaching/Consultations: Cancellation up to 24 hours before the appointment is free. Later cancellations or no-shows will be charged at 100% of the fee.

  • Seminars/Workshops:

    • Up to 14 days before: Free of charge.

    • 7 to 13 days before: 50% fee.

    • Less than 7 days or no-show: 100% fee. The Client remains free to prove that no damage or significantly lower damage was incurred.

7. Liability Limitation The Provider is liable without limitation for intent and gross negligence. For slight negligence, the Provider is only liable in the event of a breach of an essential contractual obligation (cardinal obligation โ€“ an obligation whose fulfillment makes the execution of the contract possible in the first place).

  • In cases of slight negligence, liability is limited to typical, foreseeable damages.

  • This limitation does not apply to injury to life, limb, or health.

8. Intellectual Property All materials, scripts, and digital content provided are protected by copyright. The Client is granted a simple, non-transferable right to use the materials for personal, non-commercial purposes. Any distribution, reproduction, or public display requires the Provider's prior written consent.

9. Confidentiality The Provider treats all Client information confidentially. This does not apply to information that is public knowledge or if the Provider is legally required to disclose it (e.g., by court order).

10. Governing Law and Jurisdiction

  • These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

  • If the Client is a merchant (Kaufmann), a legal entity under public law, or has no general jurisdiction in Germany, the place of jurisdiction is Wuerzburg, Germany.

  • For consumers within the EU, the mandatory consumer protection laws of the Client's country of residence remain applicable.

11. Online Dispute Resolution The European Commission provides a platform for Online Dispute Resolution (ODR), available at: https://ec.europa.eu/consumers/odr. The Provider is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

12. Severability Clause Should individual provisions of these Terms be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.
